I have identified an investment property, commercial asset or development site being sold outside the public portals. An identified private purchase
Vortex is not a property sourcing service and does not introduce private deals. This route starts after I have identified an asset through a vendor, agent, auctioneer or introducer.

Off-market property
An off-market property is offered without a broad public listing. That may reflect privacy, an early approach, a direct vendor relationship or a controlled sale process. It does not prove that the asset is exclusive, discounted or suitable.
Before treating the opportunity as finance-ready, I confirm that the seller or introducer has authority, identify the legal owner and establish the exact property, purchase price and proposed completion date. My solicitor checks title and contract documents.
The absence of a portal listing does not reduce the need for valuation, inspection, searches or independent advice. A private sale can still fail legal, condition or lender checks.
Property investment decision
I begin with the investment decision rather than the description “off-market”. I assess use, location, tenure, condition, comparable evidence, rent or development assumptions, total acquisition cost and the exit.
For a rental asset, I test demand, achievable rent, operating costs, licensing and the later mortgage case. For a commercial property, I review occupation, lease, covenant, use and marketability. For a site, I review planning status, access, services, cost plan and delivery team.
A negotiated purchase can offer less competition, but it can also leave less public evidence. I set a price cap from the numbers and risks rather than from a claim that the deal is below market value.
Purchase price and valuation
The agreed purchase price and the lender's valuation can differ. The provider decides which figure supports the facility after reviewing the contract, comparables, condition, tenure, use and relationship between the parties.
If the transaction is presented as discounted, I provide the reason, marketing history, relationship between the parties, comparable evidence and any work required. A claimed discount is not automatically accepted as equity.
I allow for the cash gap if the valuation or eligible advance is lower than expected. The offer should show the gross facility, deductions and net amount available at completion.
Short-term property finance
A bridging facility may fit an eligible private purchase when the completion timetable, condition or intended works do not fit a term mortgage. It is secured finance with a defined term and repayment route, not a substitute for due diligence.
I compare the net day-one advance, retained interest, arrangement fee, valuation, legal cost, term, extension conditions and exit charges. The provider may require a first charge and can take enforcement action if the loan is not repaid as agreed.
The purchase contract controls the deadline. Vortex cannot guarantee approval or completion by a particular date.
Longer-term finance
A buy-to-let or commercial mortgage may fit when the property, lease, rent, borrower and completion period meet the selected provider's criteria. A development or refurbishment facility may fit where works are central to the plan.
I choose the route that matches the asset at completion and the supported exit. A short-term purchase followed by refinance creates two underwriting decisions, two sets of costs and a risk that later criteria or valuation differ.
Lender assessment
The lender assesses the borrower, credit, experience, contribution, security, value, title, condition, use, transaction route and exit. It may also examine the vendor, introducer, connected-party relationship and origin of the contribution.
Different lenders can reach different decisions because policy and risk appetite vary. The provider controls its valuation basis, funding level, pricing, conditions and approval.
I should expect identity, anti-money-laundering and funding-origin checks. Complete information helps assessment but does not secure an offer.
Documents for an off-market purchase
My file can include identification, company records, bank statements, proof of contribution, asset and liability statement, experience, property address, heads of terms, memorandum of sale, title documents, contract, searches, lease, tenancy information, valuation evidence and exit documents.
For works, I add the scope, costs, quotes, programme, permissions and professional team. For refinance, I add supported rent, expected condition and the intended mortgage route. My solicitor verifies ownership, title and contract terms.
I disclose sourcing or reservation agreements and any fees paid to an introducer. The legal and funding file should describe the same transaction.
Facility structure and cash requirement
The facility should be tested against cash at exchange, cash at completion and cash held for tax, fees, work and contingency. A high gross loan can still leave a lower usable amount after interest and fees are deducted.
I compare purchase-price and valuation-based calculations, additional security where relevant, interest payment method, term, covenants and release conditions. I do not rely on an assumed future value to cover a present contribution gap.
Due diligence before commitment
Before exchange or a non-refundable payment, I confirm ownership, authority to sell, title, access, tenure, searches, planning, building regulations, leases, occupation, condition, insurance and tax treatment with the relevant professionals.
I read any reservation or sourcing agreement and establish which money is refundable. A finance discussion is not legal, valuation or investment advice and does not make a private offer genuine.
Sale or refinance exit
A sale exit needs realistic completed-condition comparables, marketability, a sales period and a fallback price. A refinance exit needs the expected condition, rent, value, borrower position and later provider criteria to work together.
I allow for a lower valuation, slower work, delayed sale, weaker rent and changed criteria. The short-term lender can assess the plan but cannot bind a future purchaser or mortgage provider.
Broker role
